3. Acceptable Use Policy

5. Content Ownership

All content, features, and functionality on the services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, and software, are the exclusive property of Urbanamplitude or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the services for your personal or internal business purposes. This license does not include any resale or commercial use of the services or any content therein, nor does it include the collection and use of any product listings, descriptions, or prices.

Any unauthorized use of the services or content may violate copyright, trademark, and other laws, and could result in criminal or civil penalties. You agree not to reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our services, except as follows: your computer may temporarily store copies of such materials in RAM incidental to your accessing and viewing those materials.

6. User-Generated Content

Users may have the opportunity to submit, post, or otherwise contribute content to the services ("User-Generated Content"). By submitting User-Generated Content, you grant Urbanamplitude a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, and fully sublicensable right to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, and display such content throughout the world in any media.

You represent and warrant that you own or control all rights to the User-Generated Content that you submit and that the User-Generated Content is accurate, not confidential, and not in violation of any contractual restrictions or other third-party rights. Urbanamplitude is not responsible for any User-Generated Content and does not endorse any opinion contained in such content.

We reserve the right to remove or edit any User-Generated Content for any reason, including but not limited to violations of these Terms, at our sole discretion. You acknowledge that we may monitor User-Generated Content and may take appropriate action if we determine that such content violates these Terms or is otherwise objectionable.

7. Payment Terms

Access to certain features of the services may require payment of fees. By subscribing to our services, you agree to pay all applicable fees and charges associated with your account. All fees are due and payable in advance and are non-refundable, except as required by law.

Urbanamplitude reserves the right to change its fees and payment terms at any time. Any changes will be effective upon posting on the services, and your continued use of the services after such changes constitutes your acceptance of the new fees and payment terms.

In the event of a payment dispute, you agree to contact us directly at [email protected] to resolve the issue. If payment is not received when due, we reserve the right to suspend or terminate your access to the services until payment is made in full.

8. Service Modifications

Urbanamplitude reserves the right to modify or discontinue, temporarily or permanently, the services (or any part thereof) with or without notice. You agree that Urbanamplitude will not be liable to you or to any third party for any modification, suspension, or discontinuance of the services.

We may also impose limits on certain features and services or restrict your access to parts or all of the services without notice or liability. Any new features or tools that are added to the current services shall also be subject to these Terms.

It is your responsibility to review these Terms periodically for changes. Your continued use of the services after any modifications to the Terms will constitute your acceptance of such changes.

9. Limitation of Liability

To the fullest extent permitted by applicable law, in no event shall Urbanamplitude, its affiliates, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of, or inability to access or use, the services; (ii) any conduct or content of any third party on the services; (iii) any content obtained from the services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

In no event shall Urbanamplitude’s total liability to you for all damages, losses, and causes of action exceed the amount paid by you, if any, for accessing the services during the twelve (12) months preceding the claim.

Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. In such jurisdictions, Urbanamplitude’s liability is limited to the greatest extent permitted by law.

10. Termination

These Terms are effective until terminated by either party. You may terminate these Terms at any time by discontinuing your use of the services and deleting your account. Urbanamplitude may terminate or suspend your access to the services immediately, without prior notice or liability, if you breach these Terms or if we believe that your conduct violates applicable law or is harmful to other users of the services.

Upon termination of your account, your right to use the services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Upon termination, you must cease all use of the services and destroy any copies of the materials obtained from the services. Any termination of these Terms shall not affect the rights and obligations of the parties accrued prior to termination.
